⚖️ Legal Registration

MrKolapie Pty Ltd is registered in South Africa under the Companies Act 71 of 2008. All operations comply with POPIA (Act 4/2013), PAIA (Act 2/2000), ECTA (Act 25/2002), and the Consumer Protection Act (Act 68/2008).

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Client") and MrKolapie Pty Ltd ("Company"). By engaging our services, submitting any order, or making payment, you confirm you have read, understood, and agree to be bound by these Terms.

1. Services Offered

The Company provides digital services including: Google SEO & Local Maps optimization, Google Workspace setup, AI product catalog development, enterprise e-commerce development, social media content production, brand identity design, steel infrastructure consulting, and software development.

2. Payment Terms

Full payment or agreed deposit is required before project commencement. Payments are accepted via EFT, PayFast, and approved gateways in ZAR. Invoices are due immediately unless agreed in writing. Late payments may attract interest at the rate prescribed by the National Credit Act. VAT applies as per SARS regulations.

3. Delivery & Timelines

Project timelines communicated are estimates. The Company is not liable for delays caused by: client-side delays in providing content or approvals, third-party API or hosting delays, or force majeure events.

4. Client Obligations

The Client must: provide accurate business information and credentials; ensure content does not infringe third-party intellectual property; provide feedback within 5 business days of milestone delivery; and maintain confidentiality of login credentials provided.

5. Intellectual Property

Upon full payment, the Client receives full ownership of the completed deliverable. The Company retains rights to display work in its portfolio unless expressly agreed otherwise. All Company tools, frameworks, and proprietary systems remain the intellectual property of MrKolapie Pty Ltd.

6. Limitation of Liability

The Company's total liability for any claim shall not exceed the total fees paid for the specific service. The Company is not liable for loss of profits, data loss, business interruption, or consequential damages. Third-party services are subject to their own terms.

7. Consumer Protection Act (CPA) — Act 68 of 2008

The Company complies with the CPA. Consumers have the right to receive fair value and safe services. Where applicable, the 5-business-day cooling-off period applies to electronically concluded services — except where digital work has commenced, in which case the Non-Refundable Policy applies.

8. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Republic of South Africa. Disputes shall first be referred to mediation. If unresolved, disputes shall be referred to arbitration under AFSA rules in Johannesburg, Gauteng.

This Manual informs requesters of categories of records held by MrKolapie Pty Ltd, the procedure for accessing records, applicable fees, and grounds for refusal.

5. Request Fees

A request fee of R50 (fifty rand) is payable upon submission. Additional reproduction fees apply as prescribed in PAIA Regulations under Government Notice R187 in Government Gazette 31956.

6. Grounds for Refusal

Records may be refused on grounds including: mandatory protection of privacy, protection of commercial information, protection of confidential information, protection of safety, or legally privileged information.

1. Non-Refundable Nature of Services

All payments made to MrKolapie Pty Ltd are strictly non-refundable. Once a project is confirmed and payment is received, the Company immediately allocates dedicated engineering hours, API routing, third-party service activations, Google account configurations, and resource planning. These costs are incurred from the moment of confirmation and cannot be recovered.

2. Reasons for Non-Refundable Policy

Upfront API & Platform Costs: Google APIs, hosting setups, and tool licences activated immediately. Human Engineering Hours: Dedicated developer time allocated from day one. Third-Party Service Fees: Domain registrations, Google Workspace activations, and Namecheap SSL are non-reversible. Custom Design Work: Bespoke assets have no resale value. Data & Analytics Setup: Project-specific configurations.

3. CPA Section 16 — Cooling-Off Period

Under Section 16 of the CPA, consumers may cancel direct marketing agreements within 5 business days. However, this right does NOT apply where: (a) the service has already commenced; (b) customised digital work has been created; (c) third-party services have been activated; or (d) the service is fully performed before the cooling-off period expires.

4. Project Disputes & Revisions

Rather than refunds, we offer: unlimited revisions within agreed scope (up to 3 revision rounds), escalation to senior review, partial credit towards future services where the Company is demonstrably at fault, and mediation.

5. Client Cancellation

If a client cancels after confirmation: (a) all payments made are forfeited; (b) partially completed work may be delivered at the Company's discretion; (c) the client remains liable for any outstanding balance on milestone-based projects.

6. Company Cancellation

The Company reserves the right to cancel if: the client fails to provide materials within 14 business days; the client requests work that violates law or ethics; or force majeure prevents completion. In such cases, a pro-rata refund for unperformed work may be considered at the Company's sole discretion.
